GTA Holdings Berhad (“GTA” or the “Company”), an investment holding company with a subsidiary principally involved in aviation maintenance, repair and overhaul (MRO) services, has launched its prospectus in conjunction with its proposed initial public offering (IPO) on the ACE Market of Bursa Malaysia Securities Berhad.
The IPO comprises 329.0 million shares, consisting of 205.0 million new shares and 124.0 million existing shares. The IPO price has been set at RM0.35 per share, with the public issue expected to raise gross proceeds of RM71.75 million for GTA.
The proceeds from the public issue will be used to support GTA’s expansion plans, strengthen its operating capabilities and meet working capital requirements. Meanwhile, proceeds from the offer for sale of 124.0 million existing shares will accrue entirely to the selling shareholders.
GTA plans to allocate RM25.00 million of the IPO proceeds towards partially repaying bank financing for the establishment of a new operating facility. The total estimated cost of the facility is RM38.93 million, comprising RM32.93 million for the purchase of the property and RM6.00 million for civil and structural works, mechanical and electrical works, furniture and fit-out works.
A further RM10.00 million has been earmarked to support the Group’s planned expansion of helicopter MRO activities into the Middle East through potential joint venture opportunities, subject to market conditions and regulatory requirements.
The Company also intends to allocate RM5.90 million towards expanding into the MRO of landing gear, wheels and brakes for fixed-wing aircraft. This initiative is aimed at broadening GTA’s service offerings and developing additional recurring income streams.
Another RM24.15 million will be used for general working capital requirements, including the Group’s day-to-day operational needs, while RM6.70 million will be used to defray listing expenses.
Managing Director and Chief Executive Officer of GTA Holdings Berhad, Dato’ Nonee Ashirin binti Dato’ Mohd Radzi, said the prospectus launch represents an important milestone in GTA’s development as a specialised aviation support business.
She highlighted the Group’s plans to establish a new operating facility, explore selected expansion opportunities in the Middle East and broaden its MRO capabilities into areas such as landing gear, wheels and brakes.
“These initiatives are aligned with our long-term objective of strengthening GTA’s position within the aviation maintenance and support ecosystem while continuing to serve our customers with quality, reliability and technical expertise,” she said.
GTA has evolved from a specialised aviation support business into a broader platform offering proactive maintenance support packages, corrective maintenance works and the sale of aviation equipment. Its development reflects the increasing sophistication of Malaysia’s aviation support ecosystem and the growing importance of developing local capabilities within the aerospace sector.
The Group’s financial performance has also strengthened. GTA recorded revenue of RM331.78 million for the financial year ended 2025 (FYE 2025), representing a 40.20% increase from RM236.65 million in FYE 2024. The growth was driven mainly by higher sales of aviation equipment and stronger corrective maintenance activity.
Looking ahead, GTA intends to focus on strengthening its technical capabilities and expanding its MRO footprint through the new operating facility, its planned Middle East helicopter MRO expansion and entry into landing gear, wheels and brakes MRO for fixed-wing aircraft.
Group Managing Director and Chief Executive Officer of Hong Leong Investment Bank Berhad, Ms. Lee Jim Leng, said GTA has established itself in a specialised segment of Malaysia’s aviation support industry, supported by its technical capabilities, customer relationships and expansion strategy.
She added that the proposed ACE Market listing represents an important step in GTA’s development and provides investors with exposure to a niche participant in the aerospace services value chain.
